| End-User License Agreement (EULA) File

IMPORTANT-READ CAREFULLY: This End-User License Agreement ("EULA") is a legal agreement between you (either an individual or a company) and Code Architects Srl for this Software Product. By installing, copying, or otherwise using the Software Product, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not install, copy, or use this software.



*** USER LICENCE ***

1) Code Architects Srl grants to you the right to use a Licensed Copy of the software, if you have registered (purchased a license for continued use) it with VB2TheMax or with its authorized suppliers. You may not use a registration code to convert an evaluation version of the software into the registered one, if you have obtained the registration code from any source other than VB2TheMax or its authorized suppliers.

2) If the Licensed Copy you are using is registered to some other name, you MUST either unregister it by removing the registration information, or stop using it. Use of a Licensed Copy, registered to anybody else except you, is in violation of copyright laws.

3a) PROFESSIONAL EDITION: You may not network a Licensed Copy or otherwise use it on more than one computer or computer terminal at the same time.

3b) ENTERPRISE EDITION: each Enterprise Edition License gives you the right to install the product on up to 20 (twenty) computers, provided they are networked through a local network (LAN). To install on more than 20 computers or on computers that are not connected through a LAN, you must purchase additional Professional or Enterprise Licensed copies.

4) The sale of and or distribution of registered copies of this software is strictly forbidden. It is a violation of this agreement to loan, rent, lease, borrow, or transfer the use of registered copies of this product.

5) Under no circumstances it is permissible for the unlock code for this software to be made known to end users.

6) This Agreement will immediately and automatically terminate without notice if you fail to comply with any term or condition of this Agreement. You agree upon termination to promptly destroy the Software Product together with all of its component parts, prior and replacement versions, and all copies and modifications thereof in any form.



*** OWNERSHIP ***

1) This Software Product is owned by Code Architects Srl, VB2TheMax and its authors and is protected by United States copyright laws and international treaty provisions. Therefore, you must treat the software like any other copyrighted material (e.g., a book or musical recording) except that you may either (a) make one copy of the Software solely for backup or archival purposes, or (b) transfer the Software to a single hard disk provided you keep the original solely for backup or archival purposes.

2) The software product is licensed, not sold.

3) The foregoing license gives you limited rights to use the Software. Although you own the media on which the Software is recorded, you do not become the owner of, and Code Architects Srl retains title to the Software and all copies thereof.



*** INTELLECTUAL PROPERTY ***

1) All ownership, title and intellectual property rights in and to the Software Product (including but not limited to any images and text incorporated into the application), are owned by Code Architects Srl.

2) You CAN NOT distribute the provided Code Library, in whole or in part, on any medium, including (but not limited to) electronic mail, online services, internet newsgroups, and printed matter.

3) The code in the provided Code Library CAN NOT be included in applications in a non-compiled form.

4) ENTERPRISE EDITION ONLY: Permission is granted to use the source code provided with the Enterprise Edition for any purpose, including commercial applications, and to alter it, subject to the following restriction:

a) the origin of this software must not be misrepresented;
b) you must not claim that you wrote the original software;
c) you distribute the code only in compiled format
d) your application doesn't directly compete with CodeBox for .NET
e) you agree that this source code isn't supported by CodeBox's authors



*** GOVERNMENT RESTRICTED RIGHTS ***

The Software Product and documentation are provided with restricted rights. Use, duplication, or disclosure by the Government is subject to restrictions as set forth in subparagraph (c)(1)(ii) of The Rights in Technical Data and Computer Software clause at DFARS 252.227-7013 or subparagraphs (c)(1) and (2) of the Commercial Computer Software - Restricted Rights at 48 CFR 52.227-19, as applicable.

If you acquired this product in the United States, this EULA is governed by the laws of the State of Washington.

If you acquired this product in Canada, this EULA is governed by the laws of the Province of Ontario, Canada. Each of the parties hereto irrevocably attorns to the jurisdiction of the courts of the Province of Ontario and further agrees to commence any litigation that may arise hereunder in the courts located in the Judicial District of York, Province of Ontario.

If this product was acquired outside the United States, local law may apply.



*** LIMITATION OF RESPONSABILITY ***

1) Whilst every care has been taken in the construction and testing of this software, it is supplied subject to the condition that the user undertakes to evaluate the suitability of the control for his/her purposes. Code Architects Srl and VB2TheMax make no representation of the software's suitability for any purpose.

2) To the maximum extent permitted by applicable law, Code Architects Srl, VB2TheMax, its authors and its suppliers provide the Software Product and any support services (including instructions for its use) AS IS AND WITH ALL FAULTS, and hereby disclaim all warranties and conditions, either express, implied or statutory, including, but not limited to, any (if any) implied warranties or conditions of merchantability, of fitness for a particular purpose, of lack of viruses, of accuracy or completeness of responses, of results, and of lack of negligence or lack of workmanlike effort, all with regard to the Software Product, and the provision of or failure to provide Support Services.
ALSO, THERE IS NO WARRANTY OR CONDITION OF TITLE, QUIET ENJOYMENT, QUIET POSSESSION, CORRESPONDENCE TO DESCRIPTION OR NON-INFRINGEMENT, WITH REGARD TO THE SOFTWARE PRODUCT. THE ENTIRE RISK AS TO THE QUALITY OF OR ARISING OUT OF USE OR PERFORMANCE OF THE SOFTWARE PRODUCT AND SUPPORT SERVICES, IF ANY, REMAINS WITH YOU.

3) TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CODE ARCHITECTS SRL, VB2THEMAX, ITS AUTHORS AND ITS SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR EXEMPLARY DAMAGES OR LOST PROFITS WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR ANY OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OR INABILITY TO USE THE SOFTWARE PRODUCT, EVEN IF CODE ARCHITECTS SRL OR VB2THEMAX HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
